SPECIAL GENERAL MEETING FOR REMUERA HERITAGE INC Friday April 4th 2025

Remuera Heritage is holding a Special General Meeting (SGM) on Friday, April 4th, at 6.15 pm at the St Aidan’s Church Social Lounge to adopt the new Constitution of Remuera Heritage Inc. and review our past, present and future.

WHEN: Friday 4th April at 6.15pm

WHERE: St. Aidan’s Church Social Lounge, with car parking off Ascot Avenue

The Incorporated Societies Act 1908 has been replaced by the Incorporated Societies Act 2022.

The key changes are:

• Rules have now become a Constitution – view this here.
• An incorporated society must have a minimum number of members (10) and all new members must consent to be members.
• Must have a governing body (committee); Minimum of 3 people on the committee; Each person on the committee is an officer of the society.
  • Six broadly expressed duties modelled on directors’ duties in the Companies Act 1993 to:

1. 1. 1. 1. Act in good faith and the best interests of the society
         2. Exercise powers for proper purposes only
         3. Comply with the Act and the constitution
         4. Exercise reasonable care and diligence
         5. Not create a substantial risk of serious loss to creditors
         6. Not incur an obligation the officer doesn’t reasonably believe the society can perform.

• An Annual Return must be completed annually unless the Society is also a registered charity, which Remuera Heritage is.
• Must maintain a Register of Members and an Interests Register to disclose any conflicts of interest
• All societies must have procedures for managing internal disputes in a way that’s consistent with natural justice.
• Surplus assets must be given to an identified not-for-profit organisation or class of organisation that is identified in your constitution.

We must re-register before April 2026.
